In a strategic move to reassure investors amid significant fluctuations in its common stock, Strategy, previously known as MicroStrategy, has announced plans to issue additional perpetual preferred stock. This decision comes in response to a decline of nearly 17% in its stock value this year.

CEO Phong Le discussed the company’s latest initiative during an interview with Bloomberg. He highlighted Bitcoin’s inherent volatility, attributing it to the digital currency’s nature. As Bitcoin prices surge, Strategy’s digital asset portfolio typically drives notable increases in its stock, but the reverse occurs during downturns. Le elaborated that companies holding Digital Asset Treasuries, including Strategy, are designed to mirror Bitcoin’s movements.

To counteract this volatility, the firm is introducing its new perpetual preferred shares, branded as ‘Stretch.’ According to Le, these shares are engineered to offer a safer avenue for investors seeking digital asset exposure without the associated price swings. He remarked that the performance of Stretch shares is precisely aligned with the $100 target value they were designed to maintain.

The Stretch shares will feature a variable dividend of 11.25%, which will reset monthly, thereby incentivizing trading activity near the par value.

While preferred stock has comprised a minor fraction of Strategy’s fundraising efforts—around $7 million in preferred shares compared to approximately $370 million in common stock—Le emphasized the importance of educating investors about their potential benefits.

He pointed out that fostering understanding takes time and a robust marketing strategy. This year has seen heightened liquidity in these preferred shares, reportedly 150 times higher than other similar offerings. Le indicated optimism for Stretch’s role in the company’s future, as they shift focus from equity capital to preferred capital.

As Strategy continues to build its Bitcoin portfolio, such a shift in funding methods could prove crucial, especially given the pressure on its conventional financing. The firm acquired over 1,000 BTC recently, bringing its total holdings to 714,644 BTC. However, with Bitcoin currently trading around $67,422, it is significantly below Strategy’s average purchase price of approximately $76,056, leading to an estimated unrealized loss of about $6.1 billion.

This downturn has adversely impacted the company’s stock performance, which dropped nearly 5% in a single day, mirroring the cryptocurrency’s more than 22% decline this year.
